These Terms of Service ("Terms") are a legally binding agreement between User and Pheme Software Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at #6, 2nd cross, Jala bhavan layout 4th T block east, Jayanagar, Bangalore - 560041, Karnataka, India (“Phemesoft”, “we”, “our”, or “us”), governing your use of the Knowbots Learning Management System (“Platform”) and associated services.

1. Acceptance of Terms

By registering, accessing, or using our services, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.

2. Definitions

• “Platform” refers to the Knowbots LMS, including its website, mobile application, content, and services.
• “Content” includes videos, text, graphics, software, documents, courses, quizzes, and discussion forums.
• “User” refers to any individual or entity using the Platform, whether as a student, instructor, institution, or enterprise client.

3. Eligibility

• You must be at least 18 years old, or the legal age of majority in your jurisdiction.
• You must have the legal capacity to enter into binding agreements.
• If registering on behalf of an entity, you must have the authority to bind that entity.

4. Account Registration and Security

• You must register an account to access most features.
• You are responsible for maintaining the confidentiality of your login credentials.
• You agree to provide accurate, complete, and updated information.
• You will not create more than one account unless expressly permitted.
• You are solely responsible for all activities under your account.

5. License to Use

Phemesoft grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal or organizational learning purposes.

You may not:

• Reverse engineer or decompile any software.
• Circumvent access controls.
• Sell, resell, or commercialize Platform content.
• Use content outside permitted scope (e.g., redistribution).

6. Use of Platform

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable law or regulation.
• Infringe the rights of any third party.
• Attempt to gain unauthorized access to other users’ accounts.
• Distribute spam or malicious software.
• Use for illegal or unethical purposes.
• Harass, abuse, or harm others.
• Post false, defamatory, or infringing content.
• Use bots or automated tools to scrape data.

Phemesoft reserves the right to suspend or terminate your access for violations.

7. Course Enrollment and Access

• Upon enrollment, you receive a limited license to access course content for the specified duration.
• Phemesoft may archive or remove content after course expiry.
• You may not share your login or content access with others.

8. User-Generated Content

• Users may upload or share content including assignments, messages, or comments.
• You retain ownership but grant us a non-exclusive, royalty-free license to use, display, and distribute it on the Platform.
• We reserve the right to remove content violating policies.

9. Payments and Refunds

• All payments must be made in INR or as specified.
• Some features or courses may require payment.
• GST and taxes are included unless stated otherwise.
• Refunds are governed by our Refund Policy.
• No refunds after material course access (e.g., >20% completion).
• All fees are non-refundable unless otherwise stated.
• Payments are processed via secure third-party processors.

10. Content Ownership and Intellectual Property

• All Platform content is owned by Phemesoft or its licensors and protected under law.
• You retain rights to your user-generated content but grant us a license to use it on the Platform.
• Content is for personal learning use only.
• You may not copy, distribute, or exploit content without permission.

11. Accessibility and Accommodations

12. Data Protection and Privacy

• Your data is handled per our Privacy Policy.
• We comply with Indian IT Act and DPDP Act, 2023.
• We use reasonable technical and administrative safeguards.

13. Third-Party Services and Links

The Platform may link to third-party services. Phemesoft is not responsible for their content or functionality. Use is at your own risk.

14. Warranty Disclaimer

• The Platform and content are provided "as is" without warranty.
• Phemesoft disclaims warranties, including for merchantability or fitness.
• No guarantee of uninterrupted access or specific outcomes.

15. Limitation of Liability

• We are not liable for indirect, incidental, or consequential damages.
• Our total liability is limited to fees paid by you in the past 12 months.

16. Indemnification

You agree to indemnify Phemesoft and its team against claims or damages from your use, violations, or third-party disputes.

17. Termination

• You may terminate your account at any time.
• Access to content ends upon termination.
• We may terminate your access for violating these Terms.

18. Changes to the Platform or Terms

We may update these Terms. Material changes will be notified. Continued use implies acceptance of changes.

19. DMCA and Copyright Infringement

20. Governing Law and Jurisdiction

These Terms are governed by Indian law. Any dispute shall be under the exclusive jurisdiction of Bangalore courts.

22. Miscellaneous

• These Terms are the complete agreement.
• If any provision is unenforceable, the rest remain effective.
• Failure to enforce a right is not a waiver.
• You may not assign rights; we may assign freely.
